Registration of the enterprises and the organisations in Ukraine

     Any it is unequivocal the best or it is unequivocal the worst form of the enterprise - does not exist. From the point of view of conducting economic activities, taxation modes any forms of the enterprises for the legislation of Ukraine - are absolutely equal in rights (if not to consider some specific kinds of activity - pawn operations, commercial activity with securities, bank activity, the insurance companies and t.p. - for which the legislation limits a circle of forms of legal bodies which can carry out corresponding activity). A difference essence between forms of the enterprises - exclusively "internal": an order of management, mutual relation and responsibility of founders, the authorised capital, etc.

     In Ukraine in overwhelming majority of cases the choice is carried out only between two organizational-legal forms: private enterprise (state of emergency) or the Society with limited liability (Open Company). Following factors become criteria of a choice between Private enterprise and the Society with limited liability basically:
* simplicity and creation cost (state of emergency - is easier and cheaper, there are no requirements to the authorised capital, for Open Company the legislation provides the minimum size of the authorised capital in exchange of 100 minimum salaries, and also an obligatory payment of 50 % in the authorised capital till the moment of registration of Open Company).
* "Solidity" of an abbreviation of the Society with limited liability (for some people (including - your future clients), the abbreviation "Open Company" - looks more solidly and gives more trust, allowing to win tenders and state orders, than the Private enterprise abbreviation (state of emergency)).

    At a choice of the organizational-legal form, the attention to the question on possibility of registration of Open joint-stock company (Open Society) is sometimes brought. At once we will notice, that term of creation of Open joint-stock company - a minimum of 7-8 months. Acceleration - is impossible (the law provides 6-month's term of a subscription to shares after the publication in a press of the information on intention to create Open Society). The major line of Open joint-stock company is possibility of sale of shares of the Society at stock exchange.

     Terms of registration of the new enterprise and name check

In dependence, for example: from area in to Odessa - 10-15 working days from the moment of signing of documents at the notary and formation not less 50 % of the authorised capital for Open Company. (The note: in some days after end of actions on registration, it will be necessary to choose system of the taxation of the enterprise and to hand in corresponding statements (as a rule it is necessary for making to the Director or the chief accountant personally).
Registration of changes in constituent documents
